Zebra’s Board reviews (and if necessary, modifies) these policies periodically to ensure they reflect sound corporate governance policies and practices.
The Corporate Governance Guidelines address matters relating to the composition and operations of the Board of Directors. The Corporate Governance Guidelines were amended in November 2023.
The Code of Conduct applies to directors, officers, and employees, and addresses matters such as conflicts of interest, confidentiality, and fair dealing. Zebra's policies relating to Anti-Corruption and Anti-Bribery, and Charitable and Political Activities can also be found within the Code of Conduct.
The Code of Ethics for Senior Financial Officers applies to our CEO, Chief Financial Officer, and Chief Accounting Officer, and addresses matters such as compliance with laws and regulations.
Zebra’s Board maintains three committees: Audit Committee, Compensation and Culture Committee and Nominating and Governance Committee and has delegated authority to each committee through individual charters that establish the roles and responsibilities of the committees.
